By purchasing the website buildout service, Client agrees to these Terms and Conditions.
Terms and Conditions for Nonprofit Website Buildout Service
Effective Date: Date of Transaction
Provider: Siegert Media, LLC (“Provider,” “we,” “us,” or “our”)
Client: The nonprofit organization purchasing the service (“Client,” “you,” or “your”)
1. Services Provided
1.1 Provider will deliver a done-for-you website buildout service, which may include:

Initial consultation and project planning

Customization of a Kajabi-based nonprofit website

Integration of approved donation platform tools (e.g., Givebutter)

Page setup, branding, and initial content placement

Basic search engine optimization (SEO) setup
1.2 Services do not include: ongoing website maintenance, third-party subscription costs (e.g., Kajabi, Givebutter), content creation beyond what is specified, or services outside the agreed scope unless otherwise contracted in writing.
2. Client Responsibilities
2.1 Client must provide all required materials (logos, images, copy, brand guidelines, account access, and other requested items) within the agreed timeframe.
2.2 Client is responsible for securing necessary rights, licenses, or permissions for all content provided to Provider.
2.3 Delays caused by failure to provide required materials may extend timelines and are not the responsibility of Provider.
3. Payment Terms
3.1 Payment terms will be outlined in the invoice or service agreement. Full payment (or agreed payment plan) must be made before delivery of the final website.
3.2 Payments are non-refundable once work has commenced.
3.3 Any additional services outside the agreed scope will be billed at Provider’s current hourly or project rate.
4. Timelines
4.1 Provider will make reasonable efforts to meet agreed timelines. (Maximum 90 day delivery from date of materials received from the purchaser)
4.2 Delays may occur due to Client inaction, third-party platforms, or unforeseen technical issues. Provider is not liable for delays outside of its control.
5. Intellectual Property
5.1 Provider retains ownership of the template design, proprietary tools, and processes used in the website buildout.
5.2 Upon full payment, Client is granted a non-exclusive, perpetual license to use the customized website for its nonprofit activities.
5.3 Client retains ownership of all content (text, images, logos, trademarks) that it provides to Provider.
6. Warranties & Disclaimers
6.1 Provider will perform services with reasonable care and skill.
6.2 Provider does not guarantee:

Increased donations, revenue, or traffic

Specific search engine rankings
-
Compatibility with all browsers, devices, or future platform changes
6.3 The website is delivered “as is.” Any issues arising after delivery due to Client modifications, third-party integrations, or platform updates are not the responsibility of Provider.
7. Limitation of Liability
7.1 To the maximum extent permitted by law, Provider’s liability for any claim relating to the services will not exceed the total amount paid by Client.
7.2 Provider is not liable for indirect, incidental, or consequential damages, including loss of revenue, reputation, or donations.
8. Indemnification
Client agrees to indemnify and hold harmless Provider from any claims, damages, or expenses (including legal fees) arising out of:

Content provided by Client

Unauthorized use of copyrighted or trademarked materials

Misuse of the website by Client or third parties
9. Termination
9.1 Either party may terminate the agreement for material breach if the breach is not cured within 14 days of written notice.
9.2 If Client terminates after work has begun, all fees paid are non-refundable, and Client remains responsible for any outstanding balance.
10. Confidentiality
Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the project, unless disclosure is required by law.
11. Governing Law & Dispute Resolution
11.1 This agreement is governed by the laws of the State of [Insert State].
11.2 Any disputes shall first be attempted to be resolved through mediation. If unresolved, disputes will be subject to binding arbitration in [Insert County/State].
12. Entire Agreement
This document, together with any signed proposal or invoice, constitutes the entire agreement between Provider and Client and supersedes all prior communications.
